Roseanne Russell is a Lecturer in Law at Cardiff University.  Her research interests lie in Company Law, Corporate Governance and Labour Law. Before joining academia, she was in practice as a solicitor in her native Scotland and in the City of London.  Between 2007 and 2009 she was Principal Legal Officer at Britain's Equal Opportunities Commission and since 2007 has been a member of England & Wales' Law Society's advisory committee on Employment Law. She is visiting the Law Faculty in June; her lectures are self-contained, no previous knowledge is expected.

 

Tuesday, June 3rd at 4 pm (c.t.) in HS 6 WiWi:

"Surrogacy and maternity leave - how do we define motherhood: A case study of D v ST Case C-167/12".

Students will examine the judgment, which held that Member States need not provide maternity leave to a woman who has had a baby through a surrogate mother, and will be offered the opportunity to debate its advantages and disadvantages.

"The UK company law model of Enlightened Shareholder Value: How enlightened is it?"

This lecture will explore the duty on company directors introduced in section 172 of the Companies Act 2006 to promote the success of the company for the benefit of its members as a whole and in doing so to have regard to other matters such as the company's employees, the impact of the company's operations on the environment and the long term consequences of any decision.  The lecture will begin by tracing the evolution of section 172 and the different viewpoints about whose interests a company should serve.  It will argue that despite appearing to suggest a more communitarian view of the company, the UK model of company law remains focused on shareholders to the detriment of other stakeholders.
